Board Secretary

Location: Nairobi, KE
Terms: Part Time / Board Role
Duration: 3-Year Renewable Term
Commitment: Approximately 4–6 days per quarter

Baraka HealthNet is a non-profit organisation committed to improving the dignity and quality of life for marginalised and vulnerable communities in Kenya. The organisation provides accessible, sustainable healthcare and promotes health awareness and preventive practices to empower communities. Baraka HealthNet operates in areas including Mathare Valley, Athi River, Korogocho, and Bomani (Kilifi County).

Baraka HealthNet seeks a Board Secretary to support the Board in ensuring effective governance, compliance with statutory requirements, and proper documentation of Board activities. The role involves facilitating communication between the Board, management, and regulatory authorities.

Key Responsibilities

  • Prepare and circulate meeting notices, agendas, and papers; record accurate minutes and follow up on action items.
  • Maintain Board records, resolutions, policies, and statutory registers.
  • Ensure timely filing of statutory returns and reporting of Board changes to the NGO Board or Registrar.
  • Advise the Board on governance best practices and ensure compliance with the organisation’s constitution and relevant laws.
  • Coordinate Board induction, succession planning, and annual evaluations.
  • Serve as liaison between the Chair, Board members, management, and regulators.

Qualifications & Competencies

  • Bachelor’s Degree in Law, Business Administration, Governance, or related field.
  • Certified Public Secretary (CPS-K) and active member of the Institute of Certified Public Secretaries of Kenya (ICPSK).
  • Minimum 3 years’ post-qualification experience providing governance or board secretarial services, preferably within the NGO sector.
  • Strong understanding of the NGO Coordination Act, PBO Act, and Kenyan corporate governance principles.
  • Excellent organisational, writing, and communication skills, with utmost integrity and discretion.
  • Ability to use digital tools for virtual meetings and document management.

Accountability & Terms

  • Reports to: The Chairperson and the full Board of Directors.
  • Honorarium: Modest honorarium provided in line with Board policy and sector best practice.
